1. HRD Antwerp nv. The service provider is HRD Antwerp nv, with registered office at Hoveniersstraat 22, BE-2018 Antwerp and registration number 0885.938.315 (hereafter ‘HRD Antwerp’), more specifically the department ‘Diamond Lab’, which offers the following services (hereafter the ‘Service(s)’) at the head office or any of the Diamond Labs of the HRD Antwerp group, which can be consulted on the website www.hrdantwerp.com : (i) Diamond Certificate/Diamond Grading Report: determines the 4C’s of the diamond, options between Diamond Certificate/Grading Report, Diamond Colour Certificate/Grading Report, Laboratory Grown Diamond Certificate/Grading Report, Treated Diamond Certificate/Grading Report and Diamond Identification report (for diamonds below 1.00 ct), (ii) Jewel report: describes the characteristics of the diamonds and/or gem and/or precious metals of a jewel, (iii) Screening report: gives a detailed overview of the number of natural, potential lab-grown/HPHT colour treated diamonds and/or simulants in one batch, for brilliant diamonds from 0.01ct to 0.2ct.

2. Definitions. Unmounted polished diamonds and/or jewels (hereafter the ‘Goods’) can only be transferred to HRD Antwerp by registered clients (hereafter the ‘Client’) represented by its legal or statutory representative or any person, at the sole responsibility of the Client. HRD Antwerp has a discretionary right to refuse or decline Goods and/or Services. The Client is obligated to immediately notify in writing any changes to its registration information. Once the Goods are transferred to HRD Antwerp, a notice of receipt is handed over to the Client containing a detailed description of the Goods which is, unless protest at the moment or receipt of the notice, undisputable. When the Goods are transferred to HRD Antwerp by a courier company or transport company, HRD Antwerp will sign for receipt of the package, without given any guarantee whatsoever on the content of the package. The Client acknowledges that it is not possible for HRD Antwerp to verify the content of a package send by transport company or courier.

3. Applicability. Notwithstanding any other written agreement, these T&C are applicable to each contractual agreement between the Parties and all Services, whatsoever or howsoever. The Client has read and approved these T&C. HRD Antwerp reserves the right to change the T&C at any given time. In case of conflict between these T&C and any other written agreement, the later will prevail. The Client accepts the T&C without any prejudice, and with the exclusion of the Client’s own terms and conditions even when communicated at a later date.

4. Conditions precedent. The Goods are analyzed in accordance with the ‘International Rules for Grading Polished Diamonds’ of the ‘International Diamond Council’ as amended from time to time. In order to be accepted for Services, the Goods must comply with the following: (i) diamonds must be boiled, (ii) jewels need to be cleaned. When these conditions are not met HRD Antwerp has the right to (i) refuse the Services, (ii) refuse to hand over a certificate or report to the Client notwithstanding the Client’s obligation to pay for Services performed as per the price list. HRD Antwerp has the right to accept or refuse other certificates, reports or hallmarks, without any obligation to verify its contents.

5. Prices. The applicable prices for the Services are those indicated in the latest HRD Antwerp price list, excluding VAT. All prices can be altered at any time. The latest price list can be consulted on the website: www.hrdantwerp.com or at the Diamond Labs counter.

6. Delivery. (i) place of delivery. HRD Antwerp delivers the Services at the registered address of HRD Antwerp or in a Diamond Lab of an affiliated companies, without any obligation whatsoever to notify the Client thereof. All Diamond Labs of the HRD Antwerp group can be consulted on the website: www.hrdantwerp.com. (ii) best efforts. Time of Delivery is approximate and indicative. (iii) late delivery. In case of flagrant late delivery of the Services, the Client has the right to terminate the Agreement by written notification if HRD Antwerp has not performed the Services within a period of two (2) months after receipt of a written notice of liability of the Client. The Client waives all other rights to recourse, specifically the right of indemnification.

7. Payment conditions. Invoicing and payment. The invoices of HRD Antwerp are to be paid on delivery of the invoice (Cash on Delivery – COD), unless Parties have agreed otherwise in writing. In the latter case, the following conditions apply: (a) late payment. Late payment of (part of) the invoice, makes the entire outstanding amount due immediately. HRD Antwerp has the right to suspend performance of the Services and/or exercise a lien on all Goods in its possession until payment of all outstanding amounts even when the

Goods are incorporated or altered in any way. (b) Interests and fixed damages. In addition to the above remedies, the following amounts are due automatically and without prior notice of liability: (i) contractual interest of 12% per year, and (ii) fixed damage of 15% on the outstanding amount (with a minimum of 50 euro), notwithstanding HRD Antwerp’s right to claim higher damages when such is evidenced and notwithstanding HRD Antwerp to claim any legal and collection costs as a result of the late payment. (c) setting-off: the Client does not have the right to setting-off invoices.

8. Liability. The Client confirms and accepts that the performance of the Services by HRD Antwerp is subject to HRD Antwerp’s quality procedures and in any case at best effort. In no event can HRD Antwerp be held liability for (a) direct or indirect damage (including consequential damage or loss of profit) after deviated or incorrect results following from (i) new techniques or technologies that were not yet available during the time of the provided Services, (ii) repeated analysis of on the same Goods, for (b) theft of, loss or damage to the Goods, unless the Client can evidence that such theft, loss or damage is caused by a fault or gross negligence of HRD Antwerp or its representatives, nor for (c) in case of online services, network interruptions, time differences and closing times, loss of data, loss or profit, loss of password or any time of damage caused by access by unqualified persons. With the exception of damage caused by intentional fault or gross negligence, the liability of HRD Antwerp is limited to the paid price of the Services relating to the Goods. In no case shall the liability exceed the maximum liability of 100.000 euro.

9. Intellectual property. The certificate or grading report, name, trademark, logo, or any other intellectual property of HRD Antwerp or one of its affiliated companies can, in whole or in part, be used in any kind of commercial, publication, website or promotion without the prior written approval of HRD Antwerp.

10. Transport. HRD Antwerp bears no responsibility nor liability for the transport of Goods from and to HRD Antwerp, until the moment the Goods are transferred to HRD Antwerp at the registered address. The Client is responsible and bears the risks and costs of the transportation and will arrange adequate insurance against theft, robbery, damage or loss of the Goods (caused) during transport. All obligations, taxes, VAT and/or charges, of whatever nature, relating to the Goods and/or the transport from and to HRD Antwerp, including any new taxes, VAT and charges installed after the start of the agreement, are solely for the Client.

11. Sureties. If and when (i) HRD Antwerp has, at any given time, doubts relating the solvency of the Client caused by acts of judicial enforcement against the Client, and (ii) in case of non- or late payment of one or more invoices and/or (iii) any other relevant situation, HRD Antwerp retains the right to suspend Services, or to request (further) sureties, even when the Services are already performed in whole or in part. Should the Client refuse to provide such sureties, HRD Antwerp has the right to terminate the Agreement with the Client with immediate effect and without any right of the Client to claim damages. Moreover, in such case, the Client is liable to pay fixed damages of 10% of the total price of the Services.

12. Force Majeure and hardship. In case performance of Services is hindered by any situation of Force Majeure (“Force Majeure’) such performance shall be suspended. Force Majeure includes all situations wherein the performance of the agreement by HRD Antwerp is, in whole or in part, temporary or not, hindered by circumstances outside of the control of HRD Antwerp, even when such situation was foreseeable at the start of the Agreement and includes, without limitation, the following situations: lack of stock, delay in or cancellation of deliveries by suppliers of HRD Antwerp, ceasing of the certificates or reports or Goods due to accidents, machine failure, strike or lock-out, revolt, war, epidemics, flooding, high level of absenteeism due to illness, interruptions of information, (tele)communication, internet, decisions or interventions by any government (including the refusal or cancellation of a license or permit), fuel deficiencies and mistakes or delays due to third parties. HRD Antwerp is not obligated to evidence the unforeseeable or uncontrollable nature of the circumstance of the situation of Force Majeure. The Parties will, in such case, take all reasonable steps to limit the consequences of the situation of Force Majeure. In case the situation exceeds a period of two months, the Client has the right to termination the Agreement with immediate effect, without the obligation to reimburse HRD Antwerp. In case of fundamental changes of the circumstances and/or conditions, not due to any Party and which gravely influences the performance of the contractual obligations of any Party, both Parties agree to renegotiate the terms of the agreement in order to find an amicable settlement and continue the agreement. Parties will strive for a comparable balance between the parties as was in existence at the start of the agreement. In case the Parties cannot reach a consensus on whether or not the performance is gravely influences as mentioned above, the Parties will appoint a joint expert who will (whether or not accompanied by a third party), will verify if such conditions or changes occurred. within one month after one party has requested such settlement by registered written notice, the later has the right to initiate legal proceedings.

13. Guarantee. HRD Antwerp does not provide any guarantee relating to the results of any Services on the Goods and no certificate, report or other type of document or communication can be construed as being a form of guarantee, valuation or estimate. HRD Antwerp furthermore cannot guarantee the possibility to ascertain whether or not mounted diamonds are (permanently) treated, nor to ascertain whether or not the mounted diamond is natural.

14. Limitation period. Any compliance regarding the Services or any damage to the Goods must be notified in writing to HRD Antwerp within 8 days after such damage was known, or should have reasonably been know, to the Client. Each claim for damage towards HRD Antwerp is subject to a limitation period of 1 year after the occurrence of the facts leading to the damage claim where know, or should have been known, to the Client.

15. Collection of the Goods. When the Goods have not been collected with two years after the agreed time, HRD Antwerp will become the legal owner of the Goods and consequently has the right (no obligation) to sell the Goods and use the received price for the payment of all outstanding invoices, notwithstanding the Client’s obligation to pay for the Services.

16. Severability. When any of the articles, in whole or in part, of these T&S are unenforceable or otherwise in conflict with any mandatory legal provision, the validity and enforceability of the remaining articles or the remaining part of respective unenforceable or conflicting article of the T&C shall not be effected. The invalidity of any clause will not result in the invalidity of the entire agreement between parties. Parties agree to replace any invalid clause with a valid clause or clauses which will correspond with the intention of the parties and the spirit of the agreement, as much as possible.

17. Law and jurisdiction. All agreements to which these T&C apply, including all other agreement resulting therefrom, will be solely subject to Belgian law and the exclusive jurisdiction of the courts of Antwerp. The applicability of the Vienna Sales Convention of 11th April 1980 is expressly excluded.

Terms and conditions HRD Antwerp nv, Education department (version July 2018) –revised (hereafter ’T&C’)

1. HRD Antwerp nv. The service provider is HRD Antwerp nv, with registered office at Hoveniersstraat 22, BE-2018 Antwerp and registration number 0885.938.315 (hereafter ‘HRD Antwerp’), more specifically the department ‘Education’, which offers trainings associated with the identification, analysis, and quality grading of polished and rough diamonds and other precious stones, as well as design courses and similar courses (hereafter the ‘Training Course(s)’) at the head office of the HRD Antwerp group and abroad (worldwide).

2. Enrolment. Acceptance to one or more Training Courses is subject to the conditions set out herein, including but not limited to receipt of the advance payment (see article 6) and notwithstanding HRD Antwerp’s right to decline candidate students (hereafter ‘Candidate(s)’) for whatever reason until final email confirmation of registration by HRD Antwerp. In case of rejection, any advance payments made will be reimbursed immediately. HRD Antwerp provides the Training Courses as described in the brochure, as amended from time to time. The Candidate guarantees that all information provided in their enrolment form is complete, accurate, and up-to-date. HRD Antwerp reserves the right to notify authorities in case of fraudulent enrolment.

3. Order of Enrolment. Enrolment shall be done on a first-come-first-serve basis. If a Training Course is fully booked, Candidates can request to be enrolled in a later Training Course with availability. Enrolment for such substitute courses shall also be subject to these T&C.

4. Applicability. By completing and signing the enrolment form, Candidates declare their agreement with the T&C. HRD Antwerp reserves the right to change the T&C from time to time. In case of conflict between these T&C and any other written agreement, the latter will prevail.

5. Prices. The applicable prices for the Training Courses are those indicated in the latest HRD Antwerp brochure, excluding VAT, as amended from time to time. The latest brochure and price list can be consulted on the website http://edu.hrdantwerp.com or at HRD Antwerp’s reception desk.

6. Advance payment and other payment conditions. An advance payment of at least 40% of the total enrolment fee is due within 15 days after the receipt of the enrolment form by HRD Antwerp. Any outstanding balance must be paid to HRD Antwerp before the start of the Training Course. HRD Antwerp has the right to refuse access to the Training Course in any case where the outstanding balance has not been paid before the start of the Training Course.

7. Liability. The Candidate confirms and accepts that Training Courses offered by HRD Antwerp are subject to HRD Antwerp’s quality procedures and in any case at best effort. Any complaint regarding Training Courses must be notified in writing to HRD Antwerp within 8 days after the end of a Training Course, however without any right to reimbursement. HRD Antwerp can only be held liable for any errors and omissions caused by gross negligence or intentional fault during the Training Courses. In all other situations, HRD Antwerp’s liability is limited to any payments received in relation to a Training Course or 10.000 euro, whichever is less.  Any damage claim is subject to a limitation period of 1 year after the final date of the Training Course.

8. Non-participation. Once enrolment is confirmed and finalized, the enrolment fee is due in totality, regardless of non-participation or non-attendance for whatever reason.

9. Cancellation. Cancellation by the Candidate must be done in writing latest two weeks prior to the start of the Training Course. With the exception of cancellation due to Force Majeure or denied visa application, Candidates remain liable for payment of 40% of the enrolment fee as contractual compensation for administrative costs, with a minimum of 300 euro (exc. VAT). In case of late cancellation for whatever reason, the total enrolment fee is due.

10. Code of Conduct. A Code of Conduct will apply during all Training Courses. In case of misconduct (including but not limited to aggression, theft, drunkenness, poor hygiene, indecency, and/or lack of respect towards students and/or teacher), students can be refused access to the training location and/or be suspended for a part or the entirety of the Training Course, at the full discretion of HRD Antwerp.

11. Consequences of misconduct. HRD Antwerp NV reserves itself the right to refuse a student to enter into the classroom or to ask the student to leave the classroom in case of "misconduct" as there is (but not limited): aggression, theft, drunkenness, poor hygiene, indecency, disrespectful behavior towards other students and/or the teacher, etc. Depending on the situation and the severity of the facts, the suspension can be for the entire duration of the course. This is the unilateral decision of HRD Antwerp NV. In any such case (a temporary suspension or a suspension for the entire duration of the course), HRD Antwerp NV is not due to refund any course fees nor any related costs (hotel,…).

12. Force Majeure. In case the Training Course cannot take place due to a situation of Force Majeure, the Training Course will be postponed to a later date. Furthermore, Candidates have the right to cancel their Training Course free of charge in case of Force Majeure, after which HRD Antwerp will reimburse the Candidate within 30 days. Force Majeure includes all situations wherein the performance of the agreement by HRD Antwerp is in whole or in part, temporary or not, hindered by circumstances outside of the control of HRD Antwerp. These situations include, without limitation, the following:, delay in or cancellation of deliveries by suppliers of HRD Antwerp, machine failure, strike or lock-out, revolt, war, epidemics, flooding, high level of absenteeism due to illness, interruptions of information, (tele)communication, and/or internet, decisions or interventions by any government (including the refusal or cancellation of a license or permit), fuel deficiencies, and mistakes or delays due to third parties (“Force Majeure”). HRD Antwerp is not obligated to evidence the unforeseeable or uncontrollable nature of the circumstance of the situation of Force Majeure.

13. Severability. When any of the articles, in whole or in part, of these T&C are unenforceable or otherwise in conflict with any mandatory legal provision, the validity and enforceability of the remaining articles or the remaining part of the respective unenforceable or conflicting article of the T&C shall not be affected. The invalidity of any article will not result in the invalidity of these T&C.

14. Privacy Statement. Shared personal data shall only be used to (i) administrate enrolment, (ii) send newsletters, and (iii) improve management of our website and services. The Candidates have the right to access their information, to request changes, and to oppose any processing thereof all in accordance with the European privacy law (“General Data Protection Regulation”).  Further information on these regulations, please consult our current Privacy Policy on the website www.hrdantwerp.com .

15. Law and jurisdiction. All agreements, to which these T&C apply, including all other agreements resulting therefrom, will be solely subject to Belgian law and the exclusive jurisdiction of the courts of Antwerp, the applicability of the Vienna Sales Convention of 11/04/1980 expressly excluded.

1. HRD Antwerp nv. The seller is HRD Antwerp nv, with registered address at Hoveniersstraat 22, BE-2018 Antwerp and VAT number 0885.938.315 (hereafter ‘HRD Antwerp’), specifically the department “Equipment”.

2. Applicability. Notwithstanding any other written agreement, these T&C are applicable to each agreement between the Parties and all Goods, whatsoever or howsoever. The Client has read and approved these T&C. HRD Antwerp reserves the right to change the T&C at any given time. In case of conflict between these T&C and any other written agreement, the later will prevail. The Client accepts the T&C without any prejudice, and with the exclusion of the Client’s own terms and conditions even when communicated at a later date.

3. Agreement. All offers of HRD Antwerp are without prejudice and without guarantee regarding the specifications of the goods on offer, and do not bind the buyer (hereafter ‘Client’). Between HRD Antwerp and the Client, an agreement will be entered into only after ‘written confirmation’ (including email) by the Client of (i) an offer, or (ii) any other written agreement.

4. Delivery. (i) Place of delivery. In case the agreed place of delivery is in Belgium, HRD Antwerp will deliver the purchased goods (hereafter the “Goods”) at the registered address of the Client. In case of delivery outside of Belgium HRD Antwerp will deliver the Goods at an airport chosen by the Client or as otherwise agreed between Parties. (ii) Time of Delivery. The agreed time of delivery is approximate and indicative. (iii) Delivery costs. The Client is solely liable for all costs of delivery and the fulfillment of any import requirements. Any levies, charges and/or taxes, of whatever nature, relating to the Goods and/or the transport thereof, including any new levies, charges and/or taxes unknown to the Parties at the time of entering into the agreement, are also exclusively for the Client. (iv) Late delivery. In case of flagrant late delivery of the Goods, the Client has the right to cancel the delivery by written notification, provided HRD Antwerp has not delivered the Goods within a period of two (2) months after receipt of a written notice of liability by HRD Antwerp from the Client. The Client waives all other rights to recourse, specifically the right of indemnification.

5. Payment terms. (i) Price. HRD Antwerp retains the right to increase the price of the Goods in case there is a significant (at least 5%) raise in the production and/or distribution costs. (ii) Invoicing. The price will be invoiced as follows (i) one (1) pro forma invoice relating to 30% of the price following the agreement; and (ii) a second (2nd) invoice of 70% of the price at a later date, both payable thirty (30) days after invoice date and latest when the Goods are ready for shipment at HRD Antwerp as communicated. Payments by the Client to HRD Antwerp are allocated in the following order: incurred (legal) costs, interests and the outstanding price. (iii) Late payment. Late payment of (part of) the invoice(s) renders the entire outstanding amount due immediately. HRD Antwerp has the right to suspend outstanding deliveries and/or exercise a lien on all Goods in its possession until payment of all outstanding amounts, even when the Goods are incorporated or altered in any way. (iv) Interests and fixed damages. In addition to the above remedies, the following amounts are due automatically and without prior notice of liability: (i) contractual interest of 12% per year, and (ii) fixed damage of 15% on the outstanding amount (with a minimum of 50 euro), notwithstanding HRD Antwerp’s right to claim higher damages when such is evidenced and notwithstanding HRD Antwerp to claim any legal and collection costs as a result of the late payment. (v) Setting-off. the Client does not have the right to setting-off invoices.

6. Transfer of Ownership. (i) Retention of ownership. Ownership of the Goods will only be transferred to the Client upon full payment of all outstanding invoices. Any risks relating to damage/loss (for any reason) of the Goods are transferred to the Client as from the effective delivery of the Goods as per clause 4 above. Until such transfer of ownership to the Client, the Client (i) may not use the Goods as a pledge or payment, and (ii) shall apply a marking on the Goods regarding the ownership of HRD Antwerp. In as much as necessary, this clause applies to all individual deliveries. (ii) Seizure by third parties. The Client guarantees to notify HRD Antwerp as soon as possible by registered letter of each seizure of the Goods by a third party. (iii) Due care. The Client has an obligation to store the Goods in perfect condition in a room fulfilling the minimum requirements.

7. Liability. The Client guarantees to accept the Goods at the time and place of delivery and to immediately inspect the quality and/or quantity thereof. Any complaint does not waive the Clients obligation to pay. (i) Visible damage. Any claim for visible damage must be notified immediately in writing to HRD Antwerp, latest within 48 hours after effective delivery. A claim for visible damage will only be accepted and investigated if the Goods have not yet been taken into use. (ii) Hidden damage. Any claim for hidden damage must be notified immediately and latest within 8 days after the discovery of such damage by registered letter, containing a detailed description of the damage. HRD Antwerp’s liability regarding the Goods is limited to damages discovered within one year after delivery of the Goods. (iii) Consequential damage. Except in case of intentional fault, gross negligence or fraud, HRD Antwerp cannot be held liable or responsible for damages relating to immaterial, indirect or consequential damage, including (but not limited to) loss of profit, loss of revenue, loss of income, reduced production, administrative or personal costs, increased general costs, loss of clientele, third party claims, caused by HRD Antwerp, her employees and/or representatives in light of exercising their professional activities. The total contractual and extra-contractual liability of HRD Antwerp and her representatives is limited to the invoice amount relating to the Goods. In as far as HRD Antwerp is reliant on third parties for the performance of the agreement, HRD Antwerp cannot be held liable for any damage resulting from their fault, including grave or intentional fault. (iv) Remedies. If and when the delivered Goods contain proven damage, and provided the above notification terms are respected, the Client has the right to reparation or replacement of the Goods, with the exclusion of any other remedy (such as compensation or restitution). If and when the Client can provide conclusive evidence that the damage is due to a grave fault, intentional fault or fraud by HRD Antwerp, the Client has the right to terminate the agreement and claim restitution, upon written notice by registered letter to HRD Antwerp. (v) Fault of Client. HRD Antwerp cannot be held liable if the damage is (partially) caused by a fault or negligence of the Client or his representatives, nor for any damage resulting from misuse of the Goods by the Client or his representatives.

8. Sureties. If HRD Antwerp has any doubts at any given time regarding the credibility of the Client caused judicial execution of any kind towards the Client, or by non- or late payment of one or more invoices and/or any other indication thereto, HRD Antwerp has the right to ask immediate payment of invoices and/or to ask (additional) sureties, even when the Goods have already been (partially) shipped. If the Client refuses, HRD Antwerp has the right to annul the agreement with immediate effect without further prior notification and without any right to compensation.

In such case, the Client will compensate HRD Antwerp for its inconvenience up to 10% of the total price of the order.

9. Force Majeure and hardship. In case performance of the agreement is hindered by any situation of Force Majeure (“Force Majeure’) such performance shall be suspended. Force Majeure includes all situations wherein the performance of the agreement by HRD Antwerp is, in whole or in part, temporary or not, hindered by circumstances outside of the control of HRD Antwerp, even when such situation was foreseeable at the start of the Agreement and includes, without limitation, the following situations: lack of stock, delay in or cancellation of deliveries by suppliers of HRD Antwerp, ceasing of the Goods due to accidents, machine failure, strike or lock-out, revolt, war, epidemics, flooding, high level of absenteeism due to illness, interruptions of information, (tele)communication, internet, decisions or interventions by any government (including the refusal or cancellation of a license or permit), fuel deficiencies and mistakes or delays due to third parties. HRD Antwerp is not obligated to evidence the unforeseeable or uncontrollable nature of the circumstance of the situation of Force Majeure. The Parties will, in such case, take all reasonable steps to limit the consequences of the situation of Force Majeure. In case the situation exceeds a period of two months, the Client has the right to terminate the agreement with immediate effect, without the obligation to reimburse HRD Antwerp. In case of fundamental changes of the circumstances and/or conditions, not due to any Party and which gravely influences the performance of the contractual obligations of any Party, both Parties agree to renegotiate the terms of the agreement in order to find an amicable settlement and continue the agreement. Parties will strive for a comparable balance between the parties as was in existence at the start of the agreement. In case the Parties cannot reach a consensus on whether or not the performance is gravely influenced as mentioned above, the Parties will appoint a joint expert who (whether or not accompanied by a third party) will verify if such conditions or changes occurred. When no amicable settlement can be reached within one month after one party has requested such settlement by registered written notice, the later has the right to initiate legal proceedings.

10. Guarantees. HRD Antwerp guarantees that the Goods are not subjected to any mortgage or pledge which would limit its use. HRD Antwerp is not liable for third party disruptions.

11. Limitation period. Each claim for damage towards HRD Antwerp is subject to a limitation period of 1 year after the occurrence of the facts leading to the damage claim where know, or should have been known, to the Client.

12. Severability. When any of the articles, in whole or in part, of these T&C are unenforceable or otherwise in conflict with any mandatory legal provision, the validity and enforceability of the remaining articles or the remaining part of respective unenforceable or conflicting article of the T&C shall not be effected. The invalidity of any clause will not result in the invalidity of the entire agreement between parties. Parties agree to replace any invalid clause with a valid clause or clauses which will correspond with the intention of the parties and the spirit of the agreement, as much as possible.

13. Law and jurisdiction. All agreements to which these T&C apply, including all other agreement resulting therefrom, will be solely subject to Belgian law and the exclusive jurisdiction of the courts of Antwerp. The applicability of the Vienna Sales Convention of 11th April 1980 is expressly excluded.

1. HRD Antwerp nv. HRD Antwerp nv with registered office at Hoveniersstraat 22, BE-2018 Antwerp and company number 0885.938.315 (and VAT number 0885.938.315) and its fully owned subsidiary HRD Antwerp – Israel limited liability company (LTD), with registered number 515253607 and registered office Diamond Tower, Tuval Street 21, level 2, suite 89, Ramat Gan 52521 (hereafter both parties will be referred to as HRD Antwerp). The division “Diamond Lab” offers diamond and jewellery inspections, as a result of which it issues diamond certificates and jewellery reports. The “Diamond Lab” is an independent laboratory with no personal financial interest in the sale of diamonds or jewellery. Certificates and reports are delivered upon personal request by clients for their own use and purposes.

• Diamond Certificates: HRD Antwerp offers a range of certificates (identifying the 4 Cs of the diamond) including the Diamond Certificate, Diamond Colour Certificate, Laboratory Grown Diamond Certificate, Treated Certificate and Diamond Identification Report (for diamonds under 1.00 ct).

• Jewellery Reports: Jewellery Reports describe the characteristics of diamonds and the precious metals of jewellery.

• Screening reports: screening reports describes the origin of a batch of diamonds (melee diamonds). This is issued for brilliant diamonds, from 0.01 ct up to 0.20 ct, colour between EW+(D) and STW(J). The report gives a detailed description of the number of natural, potential lab –grown/HPHT colour treated diamonds and/or simulants within a certain batch.

2. Inspection method. HRD Antwerp uses the latest, most advanced state-of-the-art techniques and technologies.

• Diamonds must be boiled, and will be inspected using our own methods established in compliance with the “International Rules for Grading Polished Diamonds” and with the highest possible respect and care.

• Jewellery must be cleaned in such a manner that correct grading results can be obtained. Even using the latest techniques and technologies, it will not always be possible to determine whether a diamond set in jewellery has been permanently or non-permanently treated, nor if the stone is a simulant, and HRD Antwerp offers no guarantees in this respect. Furthermore, when diamonds are set in jewellery it is not possible to determine if they are natural or synthetic.

• If diamonds are not provided boiled and/or jewellery is not provided appropriately cleaned, HRD Antwerp reserves the right to refuse to perform the inspection and/or hand over the certificate/report, without prejudice to the obligation to pay for any lab services already carried out, or at a minimum to pay the administrative costs, the amount of which is specified in the price list. In any such case when the diamonds are not properly boiled and/or jewellery is not appropriately cleaned, HRD Antwerp cannot be held liable for deviating grading results.

• Any other diamond certificates, reports and hallmarks accompanying the diamonds and/or jewellery offered for grading are considered true and accurate by HRD Antwerp without any obligation to verify the accuracy thereof, notwithstanding HRD Antwerp’s right to fully disregard to the content such certificates, reports and hallmarks.

3. Delivery conditions. The delivery dates indicated by HRD Antwerp are specified and (where applicable) confirmed only as an indication, and are not in any way binding: failure to comply with these dates does not give the client any right of recourse. With respect to online services offered by HRD Antwerp, please note that HRD Antwerp cannot be held liable for service interruptions (including but not limited to time differences and closing hours) or loss of data or profits arising out of access to or use of the HRD Antwerp website and/or its online services. Furthermore, HRD Antwerp assumes no responsibility and shall not be liable for any damage whatsoever due to unauthorised access by any third party to the website or to passwords, data or information on the website.

4. Cancellation. Any cancellation of a contract must be made in writing. Cancellation is valid only upon written acceptance by HRD Antwerp, and HRD Antwerp is also entitled to claim implementation in kind. In the event of cancellation, the client is obliged to pay for any lab services already carried out, or at a minimum to pay the administrative costs, the amount of which is specified in the price list.

5. Clients and their authorised representatives. Only registered clients of HRD Antwerp may make use of the services offered by HRD Antwerp. Stones and/or jewellery may be handed over to HRD Antwerp in the name of the registered client only by the registered client him or herself, the client’s registered representative or any other person, but always and exclusively at the risk of the person concerned and the registered client. Only registered clients of HRD Antwerp and their registered, authorised representatives are permitted to collect diamonds and jewellery. Any changes to “client details” and/or any requests for identity cards must be notified to HRD Antwerp immediately and in writing.

6. Limitation of liability. Techniques and technologies are subject to change and modification and contain certain subjective elements. Moreover, the methods by which diamonds and jewellery can be treated continue to become more sophisticated. Therefore the certificates and reports produced by HRD Antwerp using its own methods are not open to dispute. Neither HRD Antwerp nor its appointees are responsible for deviations or variances which may result from repeated inspections or the application of other methods. Since HRD Antwerp uses current state-of-the-art techniques and technology, the liability of HRD Antwerp and its appointees is also limited with regard to incorrect results and claims (including loss of profit) advanced on the basis of the certificates or reports.

Furthermore, the diamonds or jewellery delivered to HRD Antwerp are indisputably those indicated on the delivery receipt presented to the client. Complaints or claims in any way related to the services provided by HRD Antwerp as described in these General Terms and Conditions will not be accepted after 6 months from the date on which the event giving rise to the complaint or claim occurred. Clients definitively and irrevocably waive their right to damages and have no further right to claim compensation. HRD Antwerp can only be held liable in the event of proven theft, loss, robbery or any other proven damage caused by human error and/or negligence of HRD Antwerp or its appointees. In such cases, the liability of HRD Antwerp or its appointees will be limited to the amount paid to HRD Antwerp or its appointees. In any other case, the proven liability of HRD Antwerp is limited to 100.000 euro (or the ILS equivalent at the time of payment).

7. Law enforcement. HRD Antwerp is not liable for any diamonds or jewellery in its possession which must be surrendered to the proper authorities under Belgian or international law. This does not release the client from his or her contractual duty to pay the specified fee for the inspection and the preparation of the certificate/report.

8. Refusal. HRD Antwerp reserves the right, at its own discretion, to refuse to provide HRD Antwerp Diamond Lab services to any client if provision of these services could be contrary to the interests of HRD Antwerp.

9. Payment. All services rendered by HRD Antwerp or its appointees are completed according to fixed, standard fees. The client acknowledges to be informed of the initial rates and fees associated with services being rendered by HRD Antwerp, and which are accessible by the client at all times. HRD Antwerp fees are specified in ILS and/or euros and are exclusive of VAT.

The amounts due will be invoiced by HRD Antwerp. Payment is due on delivery (Cash on Delivery – COD) whereby HRD Antwerp has the right to retain the goods until payment is received. Any complaint with regard to the services and/or the amount the services provided must be made in writing within 8 days of delivery of the goods or the invoice date (whichever is later), in the absence whereof the invoice shall be deemed accepted. In all cases where there is no COD (at the sole discretion of HRD Antwerp) failure to pay the invoiced amount on the due date will result in the legally enforceable and immediate application of penalty interest of 12% per annum on the outstanding amount. In addition to the later, failure to pay the full amount by the due date will result in a legally enforceable and immediate increase of the amount by a fixed and indisputable sum equal to 15% (pursuant to Article 1226 of the Belgian Civil Code) by way of fixed and agreed damages of a minimum of 50 euros (or the ILS equivalent), without prejudice to late-payment interest and costs of legal proceedings. The interest must be paid per month commenced. Failure to pay a single invoice by its due date will result in the balance due becoming immediately and legally claimable. The same will apply to the balance of other invoices, even those for which the due date has not yet passed. At that time, the client is in default by operation of law, and HRD Antwerp reserves the right to take any legal actions it considers necessary. All related costs will be at the expense of and recovered from the client. If a client has any outstanding invoices, HRD Antwerp reserves the

right to refuse to take any new commissions. HRD Antwerp will also exercise a lien on any of the client’s goods in its possession. The lien will be lifted if the outstanding balance is paid in full by the client.

10. Trademark. Neither the Certificate and/or Report, nor the name, trademarks, service marks, logos or any intellectual property of HRD Antwerp or any of its affiliates can be used in whole or in parts for advertising, publicising, or promoting without the prior written consent of HRD Antwerp. Without limiting the generality of the foregoing, the Certificate and/or Report can in no way be considered as a guarantee, valuation or appraisal.

11. Failure to collect. HRD Antwerp will become the legal owner of any goods not collected within two years from the date indicated on the delivery receipt. Furthermore, HRD Antwerp reserves the right to sell such goods for its own profit, without prejudice to the Client's contractual obligation to pay for the services and the drafting of the certificate/report.

12. Settlement of disputes. Any disputes regarding these General Terms and Conditions fall under the exclusive jurisdiction of the Antwerp District Court (Antwerp division). All legal actions resulting from the application of these terms and conditions will be settled in accordance with Belgian law. All costs associated with collection through legal processes, including lawyers’ fees, will be at the expense of and recovered from the client.

13. Transport to and from HRD Antwerp. Until the moment that the object subject to examination arrives in the HRD Antwerp Diamond Lab and from the moment that the examined object leaves the HRD Antwerp Diamond Lab, the client bears all risks. The client bears all risks and liabilities with respect to transport of the goods and must comply with the applicable customs legislation. The client will arrange appropriate insurance to cover theft, robbery, loss or damage to the goods during transport to and from HRD Antwerp. HRD Antwerp cannot be held liable before and until the moment of actual receipt of the goods or after the moment that the goods are handed over to the client or the transport company selected by the client, or sent in any other manner specified by the client. The client is also obliged to pay the import or export duties, as well as any penalty imposed by the relevant customs office which controls imports and exports, in the event of over or undervaluation. If the goods will be delivered to HRD Antwerp by courier/shipping, HRD Antwerp will sign for the receipt of the package, but under no circumstances will be held liable for its contents.

14. Invalidity, nullity or unenforceability. The invalidity, nullity or unenforceability of one or more sentences, clauses or parts of these General Terms and Conditions shall not affect the validity of the rest of these General Terms and Conditions, which without prejudice continue to exist and retain their effect. The Parties agree that any invalid sentences, clauses or parts of these General Terms and Conditions will be replaced by other provisions so that the legal and economic consequences envisaged by the Parties will still be achieved, or will be approximated as closely as possible.

15. Priority of these General Terms and Conditions. These General Terms and Conditions take precedence over all previous general terms and conditions, including any which may differ from the above provisions.

Artikel 2: Definities

"Klant” of "u" en afgeleide termen ervan: elke persoon die de site gebruikt of heeft gebruikt en/of de site bekijkt of heeft bekeken.

“Antiwitwaswetgeving”: Antiwitwaswet van 18 september 2017 tot voorkoming van het witwassen van geld en de financiëring  van terrorisme en tot beperking van het gebruik van contanten (BS, 6 september 2017) en het Koninklijk Besluit van 7 oktober 2013 tot goedkeuring van de verordening krachtens de wet van 11 januari 1993 tot voorkoming van het gebruik van het financiële stelsel voor het witwassen van geld en de financiering van terrorisme door diamanthandelaars die geregistreerd zijn in termen van artikel 169, §2 van de programmawet van 2 augustus 2002.

“RJC-regels”: de Code of Practices van de Responsible Jewellery Councils, zoals die geraadpleegd kunnen worden op hun website http://www.responsiblejewellery.com

“GDPR”: Verordening (EU) 2016/679 van het Europees Parlement en de Raad van 27 april 2016 betreffende de bescherming van natuurlijke personen in verband met de verwerking van persoonsgegevens en betreffende het vrije verkeer van die gegevens en tot intrekking van Richtlijn 95/46/EG (algemene verordening gegevensbescherming).

“Persoonsgegevens”: alle informatie die in verband staat met geïdentificeerde en identificeerbare personen.

Artikel 3: Verwerkingsdoeleinden

De Persoonsgegevens van Klanten worden ingezameld met het oog op klantenidentificatie (KYC) overeenkomstig de Belgische Antiwitwaswetgeving en de RJC-regels. De Persoonsgegevens worden enkel gebruikt door HRD Antwerp en haar dochterondernemingen.

De Persoonsgegevens van Klanten worden strikt geheim gehouden en worden in geen geval meegedeeld aan derden, in of buiten Europa behalve aan technische dienstverleners van HRD Antwerp.

De Persoonsgegevens van Klanten worden niet gebruikt voor rechtstreekse marketingdoeleinden, tenzij we van de klant de uitdrukkelijke voorafgaande toestemming hebben gekregen om dit wel te doen ("opt-in"), met uitzondering van de gegevens die gedeeld worden met de technische dienstverleners van HRD Antwerp teneinde het verlenen van de diensten die aangeboden op de Website mogelijk te maken.

U kan uw toelating zonder een reden op te geven en kosteloos te allen tijde herroepen op http://www.hrdantwerp.com door een e-mail te sturen naar privacy@hrdantwerp.com.

Artikel 4: Verwerken van persoonsgegevens

De persoonsgegevens die u deelt, zullen gebruikt worden om:

• u na uw registratie onze nieuwsbrieven te sturen;

Wij gebruiken het door u opgegeven e-mailadres voor het verzenden van onze nieuwsbrief. Mocht u later bepalen dat u onze nieuwsbrief niet meer wenst te ontvangen, dan kan u zich op elk moment hiervoor uitschrijven door te klikken op de ‘unsubscribe’ link onderaan onze nieuwsbrief.

• uw registratie als een Klant van HRD Antwerp te voltooien;

We gebruiken uw identificatiedocumenten om te voldoen aan de voorschriften van ons KYC beleid en de Antiwitwaswetgeving. Dit betekent dat we uw gegevens opslaan en nagaan of we verplicht zijn u te weigeren als Klant.

• het beheer van onze website te verbeteren en nog een betere dienstverlening mogelijk te maken;

HRD Antwerp slaat uw taalkeuze op om, waar mogelijk, u relevante informatie op de Website aan te bieden in de taal van uw keuze.

Daarnaast kan u zich te allen tijde en kosteloos verzetten tegen elk verder gebruik van uw gegevens door het sturen van een e-mail naar privacy@hrdantwerp.com.

U hebt het recht om bijkomende gegevens te vragen aan de Privacycommissie, Drukpersstraat 35, 1000 Brussels, of via de website www.privacycommission.be.  HRD Antwerp heeft haar bestanden geregistreerd bij de Commissie en deze zijn erkend. U erkent dat de verantwoordelijkheid betreffende de wezenlijke juistheid van de verstrekte persoonsgegevens uitsluitend bij u berust.

Artikel 5: Recht op toegang en correctie

Toegang tot en correctie van Persoonsgegevens: Klanten hebben het recht om zich te allen tijde en kosteloos toegang te verschaffen tot hun Persoonsgegevens en deze te verbeteren of te wijzigen door het sturen van een e-mail naar privacy@hrdantwerp.com of van een brief naar HRD ANTWERP, Hoveniersstraat 22, 2018 Antwerpen, België, vooropgesteld dat ze een kopie van de identiteitskaart van de Klant bijvoegen. Het staat de Klant vrij om te kiezen of hij zijn Persoonsgegevens al dan niet met HRD Antwerp deelt. Wel dient hij zich ervan bewust te zijn dat het feit dat hij nalaat om het registratieformulier in te vullen met zijn Persoonsgegevens ertoe zou kunnen leiden dat zijn registratie als Klant wordt geweigerd alsook de HRD Antwerp Services en dat hij als enige verantwoordelijk is voor de nauwkeurigheid van de gegevens die hij aan HRD Antwerp verstrekt.

Wissen van informatie: Het staat de Klant vrij om te vragen dat Persoonsgegevens worden verwijderd. HRD Antwerp zal de persoonsgegevens verwijderen wanneer het hiertoe gemachtigd is overeenkomstig de wettelijke verplichtingen van de Antiwitwaswetgeving.

Bemerk evenwel dat als de Klant zijn Persoonsgegevens laat verwijderen, dat de registratie als Klant wordt verwijderd en men geen gebruik meer zal kunnen maken van de HRD Antwerp Services.  

Artikel 6: Recht om bezwaar aan te tekenen en klachten

Geregistreerde klanten kunnen hun recht uitoefenen om bezwaar aan te tekenen tegen het verwerken van hun Persoonsgegevens omwille van ernstige en gewettigde redenen. Ze kunnen dit doen door het sturen van een e-mail naar privacy@hrdantwerp.com, vooropgesteld dat ze een kopie van de voorkant van identiteitskaart van de Klant bijvoegen. Deze ernstige en gewettigde redenen omvatten onder andere: betwisten van de juistheid van Persoonsgegevens, vermeende onrechtvaardigheid van de verwerking van Persoonsgegevens en de noodzaak Persoonsgegevens te behouden voor instelling, uitoefening of onderbouwing van een rechtsvordering.

Artikel 7: Recht op overdraagbaarheid van gegevens

De Klant heeft het recht om zijn Persoonsgegevens, verstrekt aan HRD Antwerp in een csv bestand te krijgen door het sturen van een e-mail naar privacy@hrdantwerp.com.

Artikel 8: Bewaarperiode

De Antiwitwaswetgeving verplicht HRD Antwerp om alle informatie over klanten, met inbegrip van Persoonsgegevens, minstens 5 jaar na het stopzetten van de zakelijke relatie met de Klant, zoals bv. na het beëindigen van de Klantenovereenkomst, te bewaren.

E-mailadressen die enkel bijgehouden worden voor het verzenden van nieuwsbrieven, worden jaarlijks geüpdate. E-mailadressen worden op verzoek onmiddellijk verwijderd.

Artikel 9: Veiligheid en geheimhouding

HRD Antwerp heeft zowel op organisatorisch als technisch niveau, veiligheidsmaatregelen ontwikkeld en aangepast met betrekking tot de ingezamelde persoonlijke informatie teneinde ongeoorloofde vernietiging, verlies, wijziging, verandering, ongeoorloofde toegang of toevallige mededeling aan derden te voorkomen, alsmede elke andere ongeoorloofde verwerking van gegevens. HRD Antwerp kan in elk geval niet aansprakelijk worden gesteld voor enige directe of indirecte schade die voortvloeit uit het ongeoorloofde of onwettige gebruik van uw persoonsgegevens door een derde. HRD Antwerp maakt er een punt van om de Klant in kennis te stellen van het feit dat internetkoppelingen, hyperlinks of referenties naar websites van derden kunnen bevatten.

HRD Antwerp is niet verantwoordelijk voor de inhoud en privacyreguleringen van deze website, noch voor de producten of diensten die ze aanbieden. HRD Antwerp beveelt Klanten aan om het privacybeleid van elke website die ze bezoeken, zorgvuldig te lezen - deze kunnen verschillen van dit Privacybeleid.

Artikel 10: Wijzigingen

Indien HRD Antwerp processen zou moeten gebruiken die niet voorzien zijn in dit Privacybeleid, zullen wij, alvorens de persoonsgegevens te gebruiken, Klanten via e-mail contacteren om hen te informeren over het nieuwe proces en hen de mogelijkheid bieden om te weigeren.

HRD Antwerp heeft het recht om dit Privacybeleid te allen tijde te wijzigen en deze wijzigingen zullen, na melding, vanaf dat moment automatisch van toepassing zijn op alle bestaande klanten. Ten minste 10 dagen voor de wijziging zal HRD Antwerp een e-mail sturen naar de e-mailadressen, bepaald in uw My HRD Antwerp account, of door middel van communicatie via de website van HRD Antwerp.

Artikel 11: Toepasselijke wetgeving en rechtsgebied

Dit Privacybeleid wordt geregeld, geïnterpreteerd en afgedwongen overeenkomstig de Belgische en Europese wetgeving die uitsluitend van toepassing zijn voor elk geschil. De rechtbanken van Antwerpen zijn als enige bevoegd om recht te spreken over enig geschil dat zou kunnen voortvloeien uit de interpretatie of implementatie van dit Privacybeleid.

Artikel 12: Aanvaarding

Door de Website te gebruiken, aanvaardt de klant alle bepalingen van dit Privacybeleid en stemt hij erin toe dat HRD Antwerp Persoonsgegevens inzamelt en verwerkt overeenkomstig dit Privacybeleid.

Artikel 13: Contact

Personen die bijkomende informatie wensen of opmerkingen, klachten of geschillen hebben betreffende dit Privacybeleid of betreffende de manier waarop HRD Antwerp gegevens inzamelt, dienen met HRD Antwerp te communiceren per e-mail (privacy@hrdantwerp.com). HRD Antwerp deelt elke kennisgeving aan de Klant mee via de Website of via e-mail aan de Klant.

Artikel 14: Derde partijen

HRD Antwerp kan beroep doen op een externe technische service provider voor het verwerken van bepaalde Persoonsgegevens. HRD Antwerp zal het er altijd voor zorgen dat enige Persoonsgegevens behandeld worden op een confidentiële en veilige manier. Alle gegevensverwerkers zijn verplicht te voldoen aan de GDPR voorschriften. Het is gegevensverwerkers nooit toegestaan om de Persoonsgegevens op eigen initiatief te gebruiken. Persoonsgevens zullen verwijderd worden zodra de overeenkomst tussen HRD Antwerp en de gegevensverwerker eindigt.

HRD Antwerp zal Persoonsgegevens voor marketingdoeleinden enkel gebruiken na uitdrukkelijke toestemming van de Klant. HRD Antwerp zal Persoonsgegevens nooit overmaken aan derden voor marketingdoeleinden.

HRD Antwerp zal Persoonsgevens enkel overmaken aan overheidsinstellingen wanneer het verplicht is bij wet of in kader van verplichte gegevensuitwisseling. Werknemers  van HRD Antwerp zijn verplicht vertrouwelijkheid en de GDPR bepalingen te respecteren.

Artikel 15: Links naar andere websites

Dit Privacybeleid is enkel van toepassing op deze Website en niet op enige andere website in bezit van een derde partij. Article 3: Purposes of processing

Client’s Personal Data is collected for the purpose of client identification (KYC) in line with the Belgian Anti-Money Laundering Legislation and the RJC Rules. The Personal Data is used only by HRD Antwerp and its subsidiaries.

Client's Personal Data are kept strictly confidential and will under no circumstances be communicated to third parties, in or outside of Europe except external technical service providers in Europe.

Client’s Personal Data will not be used for direct marketing purposes, unless HRD Antwerp has received the client's explicit prior permission to do so ("opt-in"), with the exception of the data shared with HRD Antwerp's technical service providers to allow provision of services offered on the Website.

You can withdraw your permission on http://www.hrdantwerp.com at any time, without giving reason and free of charge by sending an e-mail to privacy@hrdantwerp.com.

Article 4: Processing personal data

Personal Data that you share will be used to:

HRD Antwerp uses your language preference in order to, where applicable, provide you the relevant information in the language of your choice.

GDPR is applicable to all processing of Personal Data. Moreover, HRD Antwerp will not give your Personal Data to third parties, in any case, unless you personally give consent (for example, in the context of client registration or Website registration). Article 5: Right of access, correction and erasure

Clients have the right, at any time and free of charge, to access their Personal Data and to improve or change them, by sending an e-mail to privacy@hrdantwerp.com  or by letter to HRD ANTWERP, Hoveniersstraat 22, 2018 Antwerp, Belgium, provided they enclose a copy of the front of client's identity card. Client is free to choose whether to share Personal Data with HRD Antwerp or not. Although, they should be aware that failure to complete the registration form with their Personal Data might result in denial of client registration and the HRD Antwerp Services, and that they are solely responsible for the accuracy of data they provide to HRD Antwerp.

Client is free to request a removal of any Personal Data. HRD Antwerp will remove the Personal Data when allowed to do so under mandatory legal obligations such as the Anti-Money Laundering Legislation. However, please note that if the Client does withdraw his consent, his client registration will be deleted and he will be denied HRD Antwerp Services.

We may reject requests that are unreasonably repetitive, require disproportionate technical effort (for example, developing a new system or fundamentally changing an existing practice) or risk the privacy of others.

Article 6: Right of opposition and complaints

Registered Clients may exercise their right to oppose processing their Personal Data, for serious and legitimate reasons, by sending an e-mail to privacy@hrdantwerp.com, provided they enclose a copy of the front of Client's identity card. These serious and legitimate reasons include: contesting of accuracy of Personal Data, tentative unlawfulness of processing and requirement of keeping the relevant data for the establishment, exercise or defense of legal claims.

Article 7: Right of data portability

Clients have the right to receive their personal data, provided to HRD Antwerp, in a csv file at any time by sending an e-mail to privacy@hrdantwerp.com.

Article 8: Retention Period

The Anti-Money Laundering Legislation requires HRD Antwerp to keep all client information, including personal data, for at least 5 years after termination of the business relationship with the Client. This period starts as of determination of the Client Agreement.

E-mail addresses, only required to send newsletters, will be updated on an annual basis. They will be deleted immediately upon request. Your language preference is saved by our technical service provider for 30 days.

Article 9: Security and confidentiality

On both an organizational and technical level, HRD Antwerp has developed and adapted security measures, regarding personal information collected, to avert unauthorized destruction, loss, alteration, modification, unauthorized access or accidental communication to third parties, as well as any other unauthorized data processing. In any event, HRD Antwerp cannot be held liable for any direct or indirect damages resulting from the wrongful or unlawful use of your personal data by a third party. HRD Antwerp makes a point of notifying the Client that websites link, hyperlinks or references may contain websites from third parties. HRD Antwerp recommends that Clients read carefully the privacy policy of every website they visit – they may differ from this Privacy Policy.

HRD Antwerp cannot be held responsible for the content and privacy regulations of these websites nor for the products or services they offer. HRD Antwerp recommends that Customers carefully read the Privacy Policy of every website they visit, which may differ from this Privacy Policy.

Article 10: Modifications

If HRD Antwerp should need to use processes that are not provided for in this Privacy Policy, before using Personal Data, HRD Antwerp will contact Clients by e-mail to inform them about the new process and allow the opportunity to refuse. HRD Antwerp has the right to change its Privacy Policy at any time, and they will automatically apply, after notification, to all existing Clients. At least 10 days prior to the change taking effect HRD Antwerp will send an email to the email address specified in your My HRD Antwerp primary account or will communicate via the HRD Antwerp’s website.

Article 11: Governing law and jurisdiction stipulation

This Privacy Policy shall be governed, interpreted and enforced in accordance with Belgian law including the GDPR, which applies exclusively for any litigation. Antwerp courts have exclusive jurisdiction to rule on any dispute that may arise from the interpretation or implementation of this Privacy Policy.

By using the Website, the client accepts all the provisions of this Privacy Policy, and agrees that HRD Antwerp collects and processes personal data in accordance with this Privacy Policy.

Occasionally HRD Antwerp will appeal to an external technical service provider for the processing of some data. HRD Antwerp will always ensure that any Personal Data is handled confidentially and in a safe manner. All processors are required to conform with the GDPR. The processor is not allowed to use your data on their own initiative and your data will be as soon as the processor has finished the assignment.

HRD Antwerp will only transfer Personal Data for marketing purposes after explicit consent of the Client. HRD Antwerp will never transfer Personal Data for marketing purposes to third parties.

HRD Antwerp will only disclose Personal Data to governmental authorities in cases where it is required by law or in the context of compulsory data exchange. HRD Antwerp’s employees are obliged to respect confidentiality and GDPR obligations.

Les données à caractère personnel des clients ne sont pas utilisées à des fins de marketing direct, sauf si nous avons obtenu le consentement exprès préalable du client à cet égard (« opt-in »), à l’exception des données qui sont partagées avec les prestataires de services techniques de HRD Antwerp dans le but de permettre la fourniture des services qui sont offerts sur le site Internet.

Accès à et rectification des données à caractère personnel : les clients ont le droit d’obtenir accès, à tout moment et sans frais, à leurs données à caractère personnel et de les rectifier ou modifier en envoyant un e-mail à l’adresse privacy@hrdantwerp.com ou un courrier à HRD Antwerp, Hoveniersstraat 22, 2018 Anvers (Belgique), pourvu qu’ils joignent une copie de leur carte d’identité. Le client est libre de choisir s’il partage ou non ses données à caractère personnel avec HRD Antwerp. Toutefois, il doit se rendre compte que négliger de remplir le formulaire d’enregistrement à l’aide de ses données à caractère personnel pourrait mener au refus de son enregistrement en tant que client ainsi que des services HRD Antwerp et qu’il est le seul responsable de l’exactitude des données qu’il fournit à HRD Antwerp.

Effacement d’informations : le client est libre de demander la suppression des données à caractère personnel. HRD Antwerp supprimera les données à caractère personnel lorsqu’elle y est habilitée à cet égard conformément aux obligations légales de la législation antiblanchiment.

Notez toutefois que, si le client fait supprimer ses données à caractère personnel, l’enregistrement en tant que client est supprimé et que les services HRD Antwerp ne pourront plus être utilisés.

Article 6 : Droit d’opposition et réclamations

Les clients enregistrés peuvent exercer leur droit d’opposition au traitement de leurs données à caractère personnel pour des raisons sérieuses et légitimes. Ils peuvent le faire en envoyant un e-mail à l’adresse privacy@hrdantwerp.com, pourvu qu’ils joignent une copie du recto de leur carte d’identité. Ces raisons sérieuses et légitimes comprennent entre autres : contestation de l’exactitude des données à caractère personnel, présomption de traitement inéquitable des données à caractère personnel et nécessité de conserver les données à caractère personnel pour intenter, exercer ou étayer une action.

Les clients ont également le droit d’introduire une réclamation auprès de la Commission vie privée belge : téléphone : 02/274.48.00, e-mail : commission@privacycommission.be.

Article 7 : Droit à la portabilité de données

Le client a le droit d’obtenir ses données à caractère personnel qu’il a fournies à HRD Antwerp dans un fichier CSV en envoyant un e-mail à l’adresse privacy@hrdantwerp.com.

Article 8 : Période de conservation

La législation antiblanchiment oblige HRD Antwerp à conserver toute information relative aux clients, y compris des données à caractère personnel, au moins cinq ans après l’arrêt de la relation commerciale avec le client, par exemple après la cessation du contrat de client.

Les adresses électroniques, qui ne sont conservées que pour l’envoi de bulletins d’information, sont mises à jour chaque année. Les adresses électroniques sont supprimées immédiatement sur demande.

Article 9 : Sécurité et confidentialité

HRD Antwerp a développé et adapté des mesures de sécurité, tant au niveau organisationnel qu’au niveau technique, concernant les informations personnelles collectées, afin d’éviter une destruction non autorisée, une perte, une modification, un changement, un accès non autorisé ou une communication fortuite à des tiers, ainsi que tout autre traitement non autorisé de données. HRD Antwerp ne peut en tout cas pas être tenue pour responsable de quelconque dommage direct ou indirect découlant de l’utilisation non autorisée ou illicite de vos données à caractère personnel par un tiers. HRD Antwerp met un point d’honneur à informer le client du fait que des liens Internet peuvent contenir des hyperliens ou des références à des sites Internet de tiers.

HRD Antwerp n’est pas responsable du contenu et des régulations de confidentialité de ce site Internet, ni des produits ou services qu’il offre. HRD Antwerp conseille aux clients de lire attentivement la politique de confidentialité de chaque site Internet qu’ils visitent, car celle-ci peut différer de cette politique de confidentialité.

- Laboratuvarımız TS/EN ISO IEC 17025 “Deney ve Kalibrasyon Laboratuvarlarının Yeterliliği için Genel Şartlar” standardına uygun olarak analizlerini gerçekleştirir.
